Welcome to Zentrixel (“Zentrixel”, “we”, “our”, or “us”).

These Terms of Use (“Terms”) govern your access to and use of Zentrixel’s websites, software applications, cloud platforms, customer portals, APIs, mobile applications, products, and related services (collectively, the “Services”), including but not limited to https://zentrixel.com and any Zentrixel-hosted platforms.

By accessing or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

1. Eligibility

You must be at least eighteen (18) years of age or possess the legal authority to enter into a binding agreement on behalf of an individual or organization.

By using the Services, you represent and warrant that you satisfy these eligibility requirements.

2. Use of the Services

You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations.

You must not:

  • Attempt to gain unauthorized access to any system, network, account, or data.
  • Interfere with, disrupt, or compromise the security, integrity, or performance of the Services.
  • Reverse engineer, decompile, modify, or create derivative works of the Services except where expressly permitted by law.
  • Upload or distribute viruses, malware, ransomware, or other malicious code.
  • Use the Services to transmit unlawful, fraudulent, abusive, defamatory, harmful, or infringing content.
  • Use the Services for spam, phishing, unsolicited communications, or any activity that violates applicable communication laws.
  • Misrepresent your identity or impersonate another person or organization.
  • Use the Services in any manner that may damage Zentrixel or other users.

We reserve the right to suspend or terminate access where we reasonably believe these Terms have been violated.

3. User Accounts

Certain Services require user registration.

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • Ensuring all information provided is accurate and current.
  • All activities conducted through your account.
  • Promptly notifying Zentrixel of any unauthorized use or suspected security breach.

You remain responsible for any actions performed using your account unless otherwise required by applicable law.

4. AI Services

Certain Services include artificial intelligence capabilities such as AI chat agents, AI voice agents, workflow automation, knowledge retrieval, recommendations, content generation, and conversational automation.

AI-generated responses are produced automatically based on available data, prompts, and configured knowledge sources. Such outputs may not always be accurate, complete, or suitable for every situation.

You are solely responsible for reviewing and validating AI-generated outputs before relying upon them for business, financial, legal, medical, operational, or regulatory decisions.

Zentrixel does not guarantee the accuracy, completeness, or suitability of AI-generated outputs.

5. Customer Data

You retain ownership of all data, content, documents, files, knowledge bases, contacts, leads, conversations, call recordings, campaign information, and other materials that you upload or submit through the Services (“Customer Data”).

You grant Zentrixel a limited, non-exclusive right to host, process, store, transmit, back up, and display Customer Data solely for the purpose of providing, maintaining, securing, and improving the Services.

Zentrixel does not acquire ownership of your Customer Data.

6. Intellectual Property

All rights, title, and interest in the Services, including software, source code, user interfaces, workflows, documentation, graphics, trademarks, logos, designs, and other intellectual property, remain the exclusive property of Zentrixel or its licensors.

Except as expressly permitted in writing, you may not:

  • Copy
  • Reproduce
  • Modify
  • Distribute
  • License
  • Sell
  • Reverse engineer
  • Create derivative works
  • Exploit any portion of the Services

without prior written authorization from Zentrixel.

7. Third-Party Services

The Services may integrate with or provide access to third-party services, including but not limited to:

  • CRM platforms
  • AI model providers
  • Messaging platforms
  • Email providers
  • Payment gateways
  • Cloud infrastructure
  • Analytics services
  • Communication providers

Your use of such third-party services is governed by their respective terms and privacy policies.

Zentrixel is not responsible for the availability, performance, security, or practices of third-party services.

8. Service Availability

We strive to maintain reliable and secure Services.

However, we do not guarantee uninterrupted, error-free, or continuous availability.

The Services may become temporarily unavailable due to:

  • Scheduled maintenance
  • Software upgrades
  • Infrastructure failures
  • Security incidents
  • Internet disruptions
  • Third-party service outages
  • Circumstances beyond our reasonable control

We reserve the right to modify, suspend, or discontinue any portion of the Services at any time.

9. Acceptable Communications

If you use our Services for email, SMS, voice calls, WhatsApp, or other communication channels, you are solely responsible for ensuring compliance with all applicable laws, regulations, and industry requirements.

You represent that you have obtained all necessary permissions, consents, or legal authority before communicating with recipients.

You must not use the Services for:

  • Spam or unsolicited communications
  • Fraudulent or deceptive activities
  • Phishing
  • Harassment
  • Illegal robocalling
  • Malware distribution
  • Copyright infringement
  • Any unlawful activity

10. Privacy

Your use of the Services is also governed by our Privacy Policy.

By using the Services, you acknowledge that Zentrixel may collect, process, store, and protect your information in accordance with our Privacy Policy.

11. Confidentiality

Each party agrees to protect confidential information disclosed during the use of the Services and to use such information solely for the purposes for which it was provided.

Confidential information shall not be disclosed to third parties except where required by law or with prior written consent.

12. Disclaimer of Warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis.

To the fullest extent permitted by applicable law, Zentrixel disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Availability
  • Reliability
  • Accuracy

We do not warrant that:

  • The Services will always be uninterrupted or error-free.
  • Defects will always be corrected.
  • The Services will be free of viruses or harmful components.
  • AI-generated outputs will always be accurate or suitable for your intended purpose.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Zentrixel shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of the Services.

This includes, without limitation:

  • Loss of profits
  • Loss of revenue
  • Loss of goodwill
  • Loss of business opportunities
  • Loss of data
  • Business interruption

Where permitted by law, Zentrixel’s total aggregate liability arising from the Services shall not exceed the fees actually paid by you to Zentrixel for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

14. Suspension and Termination

Zentrixel may suspend or terminate access to the Services if:

  • These Terms are violated.
  • Fraudulent or unlawful activities are detected.
  • Payment obligations remain outstanding.
  • Continued access presents a security or operational risk.
  • Required by applicable law.

Upon termination, your right to access and use the Services will immediately cease.

15. Changes to the Services

We may modify, enhance, replace, or discontinue features of the Services from time to time in order to improve functionality, security, compliance, or user experience.

16. Changes to these Terms

We may update these Terms periodically.

The revised version will become effective upon publication together with the updated “Last Updated” date.

Your continued use of the Services following publication constitutes your acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which the contracting Zentrixel entity is established, unless otherwise agreed in writing.

Any disputes arising out of or relating to these Terms shall be subject to the jurisdiction of the competent courts of that jurisdiction.
